Articles of Association

The key milestone in setting up business concerns in the UK is the drafting of the company constitution, which consists of two components: the memorandum of association and articles of association. The Companies Act of 2006 provided "Model Articles," which serve as a standardized template for articles of association applicable both in private and public limited companies. Before October 2009, "Table A articles" were commonly utilised for company constitutions. However, current regulations recommend adopting the standard model memorandum of association for new incorporations. Businesses can also opt for a pre-prepared "article bundle" to simplify the process.

 

While model articles offer a good foundation, certain business scenarios may well require customized articles of corporation that include things like issuing multiple share classes or naming alternate directors. These allow business-specific modification of clauses, such as the right to vote or changing the quorum for board meetings.
